Acceptance of Terms
By accessing and using the Maestro website ("Site"), all users, including both Talent and Clients, agree to comply with these terms of use. These terms are binding upon registration, use of the services, or acceptance of any engagement facilitated through the Site.

Purpose of the Site
• The Maestro Site serves as a platform to connect independent Talent ("Talent") with Clients (“Clients”)for the purposes of engaging professional services.
• Maestro facilitates interactions, project posting, timesheet management, and payment processing but does not oversee or manage the performance of services directly.

Obligations of Users: Talent
Talent must provide accurate and truthful information when registering and during any engagement.
• Talent must comply with all relevant legal and professional requirements, including taxation and insurance obligations.
• Talent must not bypass Maestro to directly engage with Clients introduced through the Site without prior written consent from Maestro.

Obligations of Users: Clients
• Clients must ensure they have the authority to act on behalf of their organisation when entering agreements via the Site.
• Clients must provide accurate project briefs and payment information.
• Clients must not directly solicit Talent for independent engagements without notifying and compensating Maestro as per the agreement terms.

Prohibited Activities
Users of the Site are prohibited from:
• Providing false or misleading information.
• Engaging in fraudulent activities or misusing the Site to bypass Maestro’s services.
• Posting or sharing content that is unlawful, offensive, defamatory, or infringes on intellectual property rights.
• Attempting to disrupt or compromise the Site’s functionality, including hacking, introducing viruses, or engaging in cyberattacks.

Fees and Payments
• Maestro charges fees for its services as outlined in the respective agreements with Clients and Talent.
• Payments must be processed through the Site as per the agreed payment cycles. Direct payments between Talent and Clients are prohibited.

Intellectual Property
All content, materials, and features on the Maestro Site are owned or licensed by Maestro and are protected by applicable intellectual property laws. Users may not reproduce, modify, distribute, or repurpose Site content without written authorisation from Maestro.

Liability Disclaimer
• Maestro acts solely as a facilitator and is not responsible for the performance or outcomes of services provided by Talent or requested by Clients.
• Maestro shall not be liable for any disputes, damages, or losses arising from engagements facilitated through the Site.

Confidentiality
Users must maintain the confidentiality of any information exchanged through the Site, including project details, client information, and proprietary data, as outlined in their agreements.

Amendments
Maestro reserves the right to modify these terms of use at its discretion. Users will be notified of any changes, and continued use of the Site constitutes acceptance of the amended terms.

Governing Law
These terms shall be governed by and construed in accordance with the laws of the State of Victoria, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Victoria.


By using the Maestro website, both Talent and Clients acknowledge and agree to these terms of use, ensuring the fair and transparent operation of the platform.
